2.1 Import.de provides its buying companies (Importers) access to a directory (database) containing worldwide suppliers (Exporters) and acts as the venue for users to locate companies to trade with. Importing companies are able to contact these Exporters directly or to send enquiries about a specific product via our Website. These enquiries will be forwarded to several suitable Exporters on a Pay-Per-Lead basis.

2.2 Advertisers (Exporters) whose application has been accepted will appear on any category to which they have applied. Advertisers who also signed up for the Pay-Per-Lead service pay a specific amount to receive an enquiry (lead). Advertisers may set a maximum number of leads they would like to receive each week during the subscription to this service. Import.de does forward enquiries to up to five advertising companies registered in the respective product category. Receiving an enquiry (lead) therefore does not automatically mean that an advertiser will close a contract with a buying company. The decision whether or not an Importer will trade with an Exporter is completely up to the enquiring companies.

2.3 Import.de is not involved in the actual transaction between trading partners and does not guarantee that an enquiring company will actually buy any goods. Import.de has no control over the quality, safety or legality of the items being traded, the truth or accuracy of the item listings or the ability of traders to fulfill their obligations in a trade agreement. Import.de cannot and does not control whether or not traders will complete their part of a trade.

3.1 By using the website and services of Import.de you agree without limitation not to post any material which is knowingly false, defamatory, inaccurate, vulgar, abusive, hateful, harassing, obscene, profane, sexually oriented, threatening or otherwise against the law. You agree not to post any material unless you own the copyright. You acknowledge and agree that Import.de retains full editorial control over all listings on our websites and that Import.de will own all intellectual property rights in the copy and listings and is allowed to use, reproduce, modify, adapt, publish and translate your information.

3.2 User who register with our website have to maintain and promptly update their member information to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or Import.de has reasonable reasons to suspect that such information is untrue, inaccurate, not current or incomplete, Import.de has the right to suspend or terminate your registration and refuse any and all current or future use of the service. If you have registered with us on behalf of a company or other entity, than you represent and warrant that you have the authority to bind such company or other entity to the terms.

3.3 Import.de provides information in real-time and therefore it is impossible to review all company details or confirm the validity of information posted by third parties. Import.de is not responsible for content and details postet by advertisers and gives no warranty in relation to the accuracy, completeness or usefulness of any message. Only the advertisers remain soley responsible for their content and company details. Import.de cannot guarantee that sent messages will be received by the intended recipient. Import.de has the right and ability to remove or delete any messages or contributions anytime for any reason.

4.1 The database, software code, site design, names, images and logos identifying Import.de or third parties and their products and services are subject to copyright, design rights trade marks and other intellectual property rights of Import.de or a third party. Except for advertisers intellectual property rights, Import.de owns all rights to the rest of the content.

4.2 You may not copy, reproduce, republish, download, post, broadcast, transmit or otherwise use any of the website content in any way except for your own personal and non-commercial use.

5.1 Import.de does make efforts to obtain content from reliable sources and to keep the provided information accurate and up to date. However, Import.de cannot ensure to verify the accuracy, truthfulness or completeness of the content and information provided by third parties, therefore it might contain errors and omissions.

5.2 Content on this website is only for general information and is not meant as a recommendation for making any investment decision. Import.de is not an agent for the listet companies and does not guarantee the information, goods or services published and offered by companies, advertisers or other organisations, including the availability, suitability, prices, professional qualifications, legal entitlement, trade certifications or memberships of trade associations. 5.3 Import.de will not be liable for any damages, including indirect or consequential damages, arising from or in connection with the use of our websites. This includes but is not limited to any loss of profit or sales, loss of opportunity, loss of use of any hardware, software or data and loss of or damage to business. The term "loss" includes a partial loss or reduction in value as well as a complete or total loss. The liability of Import.de shall be restricted to the total amount (less VAT) paid by an user/advertiser to Import.de.

5.4 The use of the service is on own risk and the service is provided on an "as is" and "as available" basis. Import.de does not warrant that functions contained in the website content will be uninterrupted or error free or that Import.de or the server that makes it available are free of viruses or bugs. This includes without limitation any acts of God, labor disputes or disturbances, material shortages, failure or shortage of power, riots, acts of war, governmental regulations, communication or utility failures, or casualties.

Import.de brings together worldwide suppliers (Exporters) and European buyers (Importers). Advertisers can get listet for free in our import directory or can take part in our Pay-Per-Lead system.

6.1 Free Directory Listing Guidelines

Advertising suppliers (Exporters) agree that the information and items they offer on Import.de will:

a) not infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;

b) not be fraudulent or involve the sale of counterfeit or stolen items;

c) not violate any law, statute, ordinance or regulation (including without limitation those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising);

d) not be defamatory, trade libelous, unlawfully threatening or unlawfully harassing;

e) not be obscene or include offensive or abusive language, racism, sexism, homophobia or other objectionable or unlawful material;

f) not contain any viruses, Trojan horses, worms or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information;

g) not link to goods or services that are prohibited under this agreement;

h) not be used in connection with chain letters, junk e-mail, spamming, to collect e-mail addresses and other information about others without their consent. Advertisers will not attempt to mislead others as to the identity of the sender or the origin of a message;

i) include an non-exclusive worldwide licence for Import.de to publish their details, copy and listings on our websites and other materials.

Import.de reserves the right without liability to remove or amend any advertising or text that other users may find offensive or may put Import.de in legal jeopardy. Import.de has also the right to refuse any application to subscribe for our services or to suspend accounts.

6.2 Pay-Per-Lead Advertising Guidelines

Advertising suppliers (Exporters) who take part in in our Pay-Per-Lead system agree that they will:

a) not resell, pass on or otherwise disclose any information arising from or in connection to a lead (enquiry) to any third party. The information provided in a lead is for use in accordance with this agreement only;

b( have sole responsibility for the goods or services they provide and release Import.de from any claims, demands, and/or damages in the event they have a dispute with one or more buyers;

c) not say anything to the buyer or any third party to suggest that they are acting on behalf of Import.de or that Import.de has verified their goods or services;

d) accept that Import.de does not guarantee the quality of any lead they receive. Import.de shall not be liable in connection with any lead for the quality or budget of the buyer, conflicts relating to a buyer or the inability to contact the buyer by using the contact details provided in the lead;

e) have to report any complaint relating to an lead within 14 days of receiving the relevant lead. If Import.de agrees that the lead is not a genuine lead or does not relate to the directory an advertiser signed up, Import.de will provide a further lead free of charge as compensation. Advertisers are not entitled to any refund;

f) accept that the order in which the advertisers receive leads is to be determined by Import.de.

7.1 Registering with Import.de and using our service is free for buying companies (Importers) and for suppliers (Exporters) who are listet in our free directory only. We reserve the right to charge fees for the service upon notice to you pursuant to paragraph 1.

7.2 Advertising companies who take part in the Pay-Per-Lead system pay fees for receiving leads they signed up for, as stated in the registration process. Before advertisers can start receiving leads they have to buy and pay for a chosen amount of leads via PayPal, which will be credited to their members online account. If an advertisers account balance should be zero, the advertiser will no longer receive leads.

7.3 Import.de will provide a monthly invoice in the members online account which will be based on the number of leads an advertiser bought during the previous month. These leads are not refundable and Import.de cannot guarantee that advertisers will receive any leads in the category they signed up, as this depends on the number of enquiries sent by buying companies.

7.4 Companies using our service are responsible for paying all applicable taxes and duties and for all other costs they incur to trade. We reserve the right to change or discontinue, temporarily or permanently, some or all of the service at any time without notice.

Advertisers are granted a revocable non-transferable licence to use the logo of Import.de on their website. Import.de can revoke and terminate such licence at any time. Advertisers hold Import.de harmless against any loss, liability and cost which may incur in relation to such licence.

Import.de or third parties may provide links to other websites or resources. Import.de has no control over such sites and is not responsible for the availability of such external sites and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such websites. You further acknowledge and agree that Import.de shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.

During the registration process a member username and password will be selected. The user is solely responsible for maintaining the confidentiality of the member username and password and for all activities that occur under this member username and password. The user agrees to immediately notify Import.de of any unauthorized use of the member username or password or any other breach of security. Import.de cannot and will not be liable for any loss or damage arising from failure to comply with this paragraph.

You may terminate your account by giving us notice by email or using any such alternative procedure. The agreement shall terminate 30 days after receipt of such notice. However, due to the ownership of all intellectual property rights, Import.de is allowed to decide whether or not to remove your listing after termination of this agreement. No refunds or credits will be payable by Import.de for any termination by an advertiser.

Import.de will only use your information in accordance with our Privacy Policy. The complete terms of our Privacy Statement are part of this agreement.

Import.de reserves the right without liability to delete any advertisement, message or posting, or take action against any relevant party, at any time, for any reason. Persistent abuse of the terms of use or breach of these guidelines may result in action being taken against the relevant party.

14.1 These terms of use as well as the website and all use of it shall be governed by German Law. The exclusive jurisdiction is Berlin/Germany. Those who access the site from other locations do so on their own initiative and are responsible for compliance with local laws, if and to the extent that local laws are applicable. You may not use our websites to do anything that is not lawful in the place where you access the site.

14.2 If any provision of these terms of use shall be unlawful, void or for any reason unenforceable then that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
